1. Acceptance of these Terms

By accessing our website or placing an order with Swift Filing Co. (“Swift Filing Co.,” “we,” “us”), you agree to these Terms of Service and our Privacy Policy. If you are using the service on behalf of a business, you confirm you have authority to bind that business. If you do not agree, do not use the service.

2. What we do — and what we don’t

Swift Filing Co. is a business filing and compliance service. We prepare and submit formation and compliance documents to state, provincial and federal registries on your instructions, and offer related add-ons such as registered agent service, EIN assistance and compliance reminders.

We are not a law firm, an accounting firm, or a tax advisor. We do not provide legal, tax or financial advice, and no attorney-client relationship is created between you and us. Information on our website is general and educational. For decisions about entity type, tax treatment or liability, consult a licensed attorney or accountant in your jurisdiction.

3. Eligibility and accounts

You must be at least 18 and able to form a binding contract. You agree to provide accurate, current and complete information and to keep it up to date. You are responsible for activity under your account and for keeping your login credentials confidential.

4. Orders, fees and payment

• Our service fee (for your selected package and any add-ons) and the government filing fee are shown separately before you pay. Government fees are set by the relevant registry, change without notice, and are passed through at cost.
• By placing an order you authorize us to charge your payment method for the total shown, plus any additional government fee required to complete your filing, such as expedite or publication charges, which we will confirm with you first where possible.
• All prices are in US dollars. Applicable taxes may be added.
• Renewal prices for recurring services (for example registered agent service after the first year) are shown at checkout. Recurring services renew automatically until cancelled.

5. Your responsibilities

You are responsible for the accuracy of everything you submit, including company name, addresses, member or director details, and signatures. You confirm that you are authorized to sign and file the documents we prepare for you, that your chosen business name does not infringe another party’s rights, and that your business will be used for lawful purposes. We prepare documents from the information you give us and do not verify it independently.

6. Processing times

Any processing time we show is an estimate based on typical registry turnaround. Registries control approval timing; we do not guarantee any date of approval, and delays caused by registry backlogs, holidays, outages or incomplete information are outside our control. Expedited options shorten the registry’s queue where one is offered but remain subject to registry acceptance.

7. Rejected or returned filings

If a registry rejects or returns a filing because of an error in how we prepared it, we will correct and resubmit it at no additional service fee. If a rejection results from information you provided, a declined or mismatched payment, or a name conflict, we will help you correct it, but the government filing fee may need to be paid again and we may need your updated information or approval before resubmitting.

8. Registered agent service

If you purchase our registered agent service, we agree to act as your registered agent in the state or province you select, to receive legal and government mail on your behalf, and to forward it to you promptly using the contact details on your account. You are responsible for keeping those contact details current. We may resign as agent on written notice, as the law allows, if you breach these Terms or fail to pay.

9. EIN and other third-party processes

Where we help you apply for an EIN or Canadian Business Number, we submit the application on your behalf using information you provide. Taxpayer identification numbers are issued by the relevant tax authority, not by us, and an EIN can also be obtained directly from the IRS at no charge. Our fee covers preparation and submission, not the government’s decision.

10. Cancellations and refunds

You may cancel an order before we submit your filing for a full refund of our service fee. Once a filing has been submitted to a registry, our service fee is non-refundable and government fees cannot be refunded because registries do not return them. Recurring services may be cancelled at any time to stop future renewals; amounts already charged for a current term are not prorated unless required by law.

11. Intellectual property

The website, software, templates and content we provide are owned by Swift Filing Co. or its licensors and are licensed to you for your own business use only. You may not copy, resell, reverse-engineer or scrape the service. Documents we prepare for your entity, such as your filed articles, belong to you.

12. Acceptable use

You agree not to use the service for unlawful, fraudulent or deceptive purposes, to impersonate another person or business, to submit false information to a government registry, or to interfere with the security or operation of the service.

13. Disclaimers

The service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that a registry will approve your filing or that the service will be uninterrupted or error-free.

14. Limitation of liability

To the fullest extent permitted by law, Swift Filing Co. and its owners, employees and contractors will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or business opportunities. Our total liability for any claim relating to the service is limited to the service fees you paid us for the order giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

15. Indemnification

You agree to indemnify and hold us harmless from claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, the information you provide, or your use of the entity or name we help you register.

16. Suspension and termination

We may suspend or terminate access if you breach these Terms, if we suspect fraud, or if required by law or a registry. You may stop using the service at any time. Provisions that by their nature should survive termination, such as payment, disclaimers and liability limits, will survive.

17. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. You and Swift Filing Co. agree to first try to resolve any dispute informally by contacting us at the address below. Unresolved disputes will be brought in the state or federal courts located in Delaware, unless applicable consumer law gives you the right to bring a claim in your home jurisdiction.

18. Changes to these Terms

We may update these Terms from time to time. We will post the new version with an updated date, and material changes will apply to orders placed after that date. Continued use of the service means you accept the updated Terms.
